These terms are a contract between you and ONS inc. ("we", "us"), the company that runs Penny. Please read them. By creating an account or using Penny, you accept them. If you accept them for a business, you confirm you're allowed to bind that business.
1. What Penny is, and what it isn't
Penny is bookkeeping software. It reads your receipts, keeps your books and prepares figures, forms and reports so that you can file your own returns.
- Penny is not an accounting firm. We don't offer public accounting, audit, review or compilation engagements, and we don't give legal, tax or accounting advice.
- We don't file, sign or submit returns for you, and we don't deal with the CRA, Revenu Québec or any other authority on your behalf.
- Penny's figures, estimates, deadlines and suggestions are tools. You stay responsible for checking them and for what you file. When in doubt, talk to a qualified professional.
2. Who can use Penny
Penny is made for businesses: corporations and self-employed people in Canada. You must be at least 18 and able to enter into a contract. You must give us accurate information and keep it up to date.
3. Your account and its security
- Each login is for one person. Don't share your password.
- Keep your password and your two-step sign-in device safe. You're responsible for what happens in your account, unless it results from our fault.
- Tell us right away at martial.hanna@onsmkt.com if you think someone else got in.
- If you invite other people into a business, you confirm you have the right to share that business's records with them, and you're responsible for what they do there.
- We may ask you to confirm your identity before we change sensitive account details or hand over data.
4. Free trial, plans and payment
- Trial. Each new business gets a free 30-day trial. No card is needed. When the trial ends, you choose a plan to keep adding receipts. If you don't, your books become read-only and you can still download everything.
- Prices. Prices are in Canadian dollars and shown before you pay. Sales taxes (GST, HST, QST or PST) are added according to your province.
- Renewal. Plans renew automatically each month or year until you cancel. We charge the payment method on file at the start of each period.
- Price changes. We'll tell you by email at least 30 days before a price change takes effect. You can cancel before then.
- Failed payments. If a payment fails, we'll tell you and try again. After 14 days, the account becomes read-only until payment is made. Your data is not deleted.
- Refunds. You can cancel at any time and keep access until the end of the period you paid for. Periods already started aren't refunded, except where the law requires it.
- Payments are handled by our payment provider. We never see or store your full card number.
5. Your data belongs to you
- Everything you put in Penny (receipts, books, statements, settings) remains yours.
- You give us permission to store, copy, process and display it only to run Penny for you: reading receipts, keeping your books, preparing your reports, backing it up and giving you support when you ask.
- We don't sell your data, don't use it for advertising, and don't use your receipts or books to train AI models.
- You can download all your data at any time (Settings → Download all my data), in common formats.
- You confirm you have the right to upload what you upload, including any personal information about other people that appears on your receipts and statements (for example, a contractor's name).
6. Automatic reading and suggestions
Penny uses automated tools, including artificial intelligence, to read receipts and suggest categories, taxes and business-or-personal splits. These tools can make mistakes. Check each entry against the receipt, especially amounts, dates and taxes, before you rely on it. If you turn on automatic filing, entries Penny is very sure about are filed without asking you; you can still change them.
7. Other companies' services
Some features use services from other companies, such as receipt reading, payments, email delivery or, if you choose, a connection to your bank. When you use a feature that connects to another company's service (for example your bank), that company's terms also apply. We choose these providers carefully and require them to protect your data (see the privacy policy), but we don't control their services.
8. Fair use
You agree not to:
- break the law with Penny, or use it to hide income or deceive a tax authority;
- upload anything you have no right to, or anything harmful (viruses, malicious files);
- try to get into another customer's data, test our security without our written permission, or get around limits or protections;
- copy, resell or reverse-engineer Penny, or overload it (for example with automated scripts).
We may suspend an account that breaks these rules or puts other customers at risk. Except in an emergency, we'll tell you first and give you a chance to fix it.
9. Keeping your records
Tax law requires you to keep your books and receipts, generally for six years after the end of the year they relate to. Penny keeps them while your account is open and lets you download them at any time. Before you close your account, download your data: after closing, we delete it (section 12).
10. Availability and changes to Penny
We work to keep Penny available and secure, but it may sometimes be unavailable, for example during maintenance. We improve Penny regularly and may change or remove features. If we remove a feature that is central to your paid plan, we'll tell you in advance and you may cancel and get a refund for the unused part of a prepaid period. Features marked "beta" are early versions and may change.
11. Our intellectual property
Penny (the software, design, name, mascot and content we provide) belongs to us. We give you a limited, non-exclusive, non-transferable right to use it while your account is active. Ideas you send us to improve Penny can be used freely, with no obligation.
12. Cancelling and closing your account
- You can cancel your plan at any time in your account. Your books stay accessible in read-only mode.
- You can ask us to close your account and delete your data at martial.hanna@onsmkt.com. We delete it within 90 days. Backups expire on their own within 30 days after that.
- If a plan stays unpaid or cancelled for 12 months, we'll warn you by email at least 30 days before deleting the business's data.
- We may end these terms if you seriously break them. We'll tell you why, and except where the law prevents it, give you 30 days to download your data.
13. Warranties
We provide Penny with reasonable care and skill. Apart from that, and to the extent the law allows, Penny is provided "as is": we don't promise it will be error-free or uninterrupted, or that its figures fit your particular situation.
14. Limits on our liability
To the extent the law allows:
- we're not liable for indirect losses, such as lost profits, lost business opportunities, or penalties and interest charged by a tax authority because of figures you filed without checking;
- our total liability for all claims connected to Penny is limited to the amounts you paid us in the 12 months before the event that caused the claim.
These limits don't apply to bodily or moral injury, to damage we cause intentionally or through gross fault, or to anything else the law doesn't allow us to limit, including under the Civil Code of Québec.
15. Your responsibility
If someone makes a claim against us because of content you uploaded or because you broke these terms, you agree to cover our reasonable costs of that claim, unless it results from our own fault.
16. Changes to these terms
We may update these terms. For important changes, we'll email you at least 30 days before they take effect and explain what changes. If you don't agree, you can cancel before that date with no fees. The current version is always on this page.
17. If you're a consumer
Penny is intended for business use. If, despite this, the Consumer Protection Act of Québec or a similar law in your province applies to you, nothing in these terms limits the rights it gives you, and any clause that it doesn't allow doesn't apply to you.
18. Law, courts and language
- These terms are governed by the laws of Québec and the federal laws of Canada that apply there.
- Any dispute goes to the courts of the judicial district of Montréal, unless the law gives you the right to go to the courts where you live. Before going to court, write to us: most problems can be solved quickly.
- These terms were first provided to you in French. You chose to read them in English. If the two versions differ, the French version prevails.
